Assisting the owners in the sale of ANESAN

KSB's team led by Drahomír Tomašuk and Ján Béreš, with the support of Jan Černohouz, provided the owners of ANESAN with comprehensive legal advice on the sale of 100% of the company. ANESAN operates a long-term acute care hospital in Český Brod, which is the oldest healthcare facility of its kind in the Czech Republic. ANESAN’s facility is located on the premises of the Český Brod hospital and has a total capacity of 15 beds and a highly specialized team of doctors and nurses. The buyer is the Penta Hospitals CZ group.

KSB's team (Jiří Horník, Jakub Porod, Zuzana Slabá) advised KSB's long-standing client, ARETE Group, on the acquisition of land for the expansion of ARETE’s logistics park in Rokycany. A modern hall is to be developed on the new land in the ARETE Park Rokycany 2 industrial park. The facility will offer almost 30,000 sqm of modern warehouse and office space. The project will also comply with ESG standards in line with the ARETE Group's strategy. The premises will be rented out on a long-term basis to the Duvenbeck Group, an international provider of comprehensive logistics services.

The second stage of the transaction and the acquisition of another 1.1% stake was completed on December 23. The fund has received approval from the Czech National Bank to acquire up to 19.99%.

KSB's team advised J&T IB and Capital Markets as the arranger of the issuance of subordinated unsecured income certificates without a maturity date (so-called “perpetual certificates”) issued by J&T BANKA and countable as Tier 1 secondary capital, the purpose of which is to increase regulatory capital, increase diversification of capital sources, and raise funds for the eventual repayment of previously issued instruments. The value of the issuance is EUR 100 million, with an option to increase by 100 %.

Martin Šolc Elected Secretary-General of the International Bar Association

Exemption from Solar Power Levy

The General Financial Directorate (the “GFD”) has released information on the new legislation applicable to exemptions from the levy on solar power, which will take effect as of 1 January 2013. The Supported Energy Resources Act[1] supersedes the Act for Support of Renewable Resources,[2] which we have addressed several times in prior editions of Tax News. Newly exempted from the levy is solar power generated from solar power equipment with an installed output of up to 30 kW. The exemption can only be applied, however, to electricity generated from 1 January 2013 until 31 December 2013. Electricity generated and to be generated by the end of 2012 is subject to the existing rules, whereunder the exemption applies to solar power generated from all solar generation equipment with an installed output of up to 30 kW that are installed on rooftops or walls of a single building attached to the ground through a solid foundation, whereas such building is required to be registered in the land (cadastral) register. Weekly magazine Ekonom recently mapped out what high profile Czech lawyers think about the hot legislative issues for 2012. Dagmar Dubecká, KŠB’s managing partner, gave her take on the amendment to the Mergers Act, which starting in 2012 aims to make transactions easier and cheaper for corporations and cooperatives by, among other things, allowing the decisive date of a merger to be set either retroactively or in the future. Prior to the amendment, this was not possible.

Supreme Administrative Court again rules in favour of Czech Radio in VAT dispute

At the beginning of March 2012 the Supreme Administrative Court in Brno satisfied a second cassation complaint lodged by Czech Radio. Claiming non-reviewability, the Supreme Administrative Court once again dismissed the Prague Municipal Court’s judgment whereunder Czech Radio was not allowed to exercise a claim to have VAT deducted on the grounds that it collects broadcasting fees. Czech Radio, represented by Kocián Šolc Balaštík, disagreed with the Municipal Court’s judgement.
