Advising on the issuance of perpetual certificates to be included as Tier 1 secondary capital

KSB's team advised J&T IB and Capital Markets as the arranger of the issuance of subordinated unsecured income certificates without a maturity date (so-called “perpetual certificates”) issued by J&T BANKA and countable as Tier 1 secondary capital, the purpose of which is to increase regulatory capital, increase diversification of capital sources, and raise funds for the eventual repayment of previously issued instruments. The value of the issuance is EUR 100 million, with an option to increase by 100 %.

J&T BANKA, a leader in private and investment banking in the Czech Republic, is part of the J&T Finance Group SE banking holding company, which also includes Slovak 365.Bank, Croatian J&T banka d. d., and their subsidiaries.

KSB's legal advisory services included assistance in preparing the prospectus for the public offering of the certificates and their admission to trading on the regulated market of the Prague Stock Exchange, as well as representation in proceedings before the Czech National Bank for approving the prospectus. KSB drew on its extensive experience in both banking regulation and securities issuance (including the preparation and approval of prospectuses).

Active counter-drone measures need a broader legal basis

A highly noteworthy legislative proposal was added to the VeKLEP interministerial consultation database on 21 July 2026, namely a government bill amending several laws with the aim of strengthening the resilience of critical infrastructure entities against unmanned aircraft systems. Drafted by the Ministry of the Interior, the bill includes proposed amendments to the Civil Aviation Act and the Act on the Czech Police.
