KŠB advises the National Development Bank on the integration of the Czech Export Bank
KŠB advised the National Development Bank (Národní rozvojová banka, a.s.) on the integration of the Czech Export Bank (Česká exportní banka, a.s.) into the NRB group.

The transaction was carried out in two phases. The first phase focused on consolidating the Czech Republic’s shareholding in the Czech Export Bank and laying the groundwork for its transfer to the National Development Bank. The second phase, on which KŠB advised, involved the transfer of 100% of the shares in the Czech Export Bank –held by the Czech Republic, with shareholder rights exercised through the Ministry of Finance – to the National Development Bank, and their contributionin kind to NRB’s registered capital. In connection with this phase, NRB’s registered capital was increased by CZK 8.818 billion.
KŠB’s role in the second phaseincluded legal due diligence on the Czech Export Bank, advising on the full suite of transaction documentation.
The transaction was subject to the Czech National Bank's approval, which was obtained with KŠB’s support.
