Assistance to Solitea in the acquisition of Mainstream

KŠB (partner Drahomír Tomašuk and lawyer Ján Béreš) assisted Solitea in the acquisition of a 100% stake in Mainstream Technologies, s.r.o. and its parent company Powerstream, a.s., being one of the most important partners of the global technology company Microsoft in their branch of business. For Solitea, this is the seventh acquisition of a major partner of Microsoft.

Our advice consisted primarily in conducting due diligence of Mainstream and Powerstream, preparing and negotiating acquisition documentation, and assessing the competitive aspects of the entire transaction.

Mainstream has been on the market for more than 15 years and provides, for example, consulting for communication and collaboration, assistance with digital transformation and adoption, design and implementation of hybrid cloud infrastructure and cyber security consulting from evaluation to implementation of security solutions using artificial intelligence.

Solitea employs over 1,000 employees in seven countries and has over 260,000 customers in 15 countries in the European region, and has long been one of the fastest growing IT companies in the region. In recent years, Solitea has made a number of significant acquisitions of IT companies with the assistance of KŠB (e.g. Altus software, Aquasoft, Axiom, BI Experts, CDL SYSTEM, Clever Decision, D3Soft, Dotykačka, Dynamica, GEMMA Systems, or Vema).

The discussion surrounding the current proposal to amend the Construction Act (Parliamentary Print 67) has moved to the committee stage in the Chamber of Deputies following its first reading. The primary declared objective is the acceleration of construction, particularly regarding residential buildings. The shortage of affordable housing remains a pressing issue in major cities, both in the Czech Republic and abroad, giving rise to the pervasive trend of suburbanization. This raises the question: does the proposed amendment truly have the ambition to reverse this trend, and will an increase in housing construction alone suffice?
